1. Acceptance of These Terms

These terms form a binding agreement between you and HeZe ZhongHao Network Technology Co., Ltd. Reading this website, sending an enquiry, or booking any part of the plaza desk service shows that you accept the terms as they stand on the date of the interaction. If you act for a company, you confirm that you have authority to bind that company to these terms.

Where a separate written engagement letter, statement of work or service agreement has been signed with the company, that document takes precedence over these terms to the extent of any conflict. These terms continue to apply to everything that the signed document does not address, including the use of this website and general conduct at the plaza desk.

The company may provide translations of these terms for convenience. Where a translation differs from the English text, the English text governs unless the law requires otherwise.

2. Definitions

In these terms, the company means HeZe ZhongHao Network Technology Co., Ltd. The plaza desk means the service and the working space described on this website, including the six service stations. The website means the pages published at the address shown in this document.

Client means a person or organisation that engages the company for design work or books a plaza sitting. Visitor means a person who reads the website without engaging the company. Seller means a person or organisation that supplies goods or services to the company or that corresponds with the seller letter desk. Partner means an organisation that collaborates with the company on a project.

Hero sheet means the public summary prepared at the hero sheet bay. Plaza note means a note gathered during a plaza note run. Network window means the narrow live view described on the website. Link review means the grouped check of connected links. Plaza sitting means the scheduled conversation at the plaza bench. Deliverable means any document, plan, finding or record that the company provides to a client.

The developer means CentralHero, the party that builds and maintains the technical systems for the company. Developer does not imply any partnership, agency or joint venture between CentralHero and the company beyond the technical work described in this document.

3. Eligibility and Authority

The plaza desk is intended for businesses and professionals. By using the service, you confirm that you are at least eighteen years of age and that you have the legal capacity to enter into an agreement. If you act for an organisation, you confirm that the organisation has authorised you to accept these terms on its behalf.

The company may decline a request where it reasonably believes that the requester lacks authority, that the request is unlawful, or that accepting the request would put the desk or another party at risk. A refusal will be explained in plain language unless the law prevents an explanation.

You agree that the information you provide about yourself and your organisation is accurate and that you will correct it promptly if it changes. The company may ask for evidence of identity or authority before starting work, and may wait for that evidence before allocating a sitting or a bay.

4. The Plaza Desk Services

The company provides computer integrated systems design and related professional services through six stations. Each station is described on the services page of this website, and these terms apply to all of them. The stations are offered as parts of one desk, and a client may engage one station or several in sequence.

Hero sheet bays turn a request into a clean public summary. The company prepares each sheet from the material supplied and checks every field against the source before marking the sheet ready. A hero sheet is a working document and may be revised as the engagement develops.

Plaza note runs gather and sort observations from site visits and desk research. Notes are written to distinguish what was observed from what was decided, and the run is kept in a form that a reader can follow without special knowledge.

Seller letter desks handle correspondence with suppliers and resellers. Letters are logged, matched to the relevant sheet, and answered from one desk so that commitments remain consistent. The company does not act as a broker for a seller unless a separate agreement says so.

Network windows provide a narrow, agreed view into the status of a live plan. A window shows only what the client has approved for publication. It is not a portal to the underlying records and it does not create any right of access beyond the items shown.

Link review rounds check every connected link in a project as a group. Findings are ranked by risk and returned with a recommended next step. A review round is an assessment based on the material available at the time, and it does not guarantee that no future issue will arise.

Plaza sittings are scheduled conversations at the plaza bench. A sitting produces a short record that both sides keep. The company may propose a sitting before a stage is closed, and a client may request one at any time during an engagement.

5. Use of This Website

The company grants you a limited, revocable, non exclusive licence to read the public pages of this website and to send enquiries through the published channels. This licence does not include the right to copy the site for commercial use, to resell its content, or to present the content as your own.

You may print a page for your own reference or share a link to a page. If you quote from the website, you must attribute the quotation to HeZe ZhongHao Network Technology Co., Ltd. and must not change the meaning of the text. The company may withdraw the licence at any time if the website is misused.

The website is provided as it stands. The company works to keep it available and accurate, but it does not promise that every page will always load without interruption or that every description will remain current. Where a page describes a service in general terms, the signed engagement documents govern the actual scope of work.

You agree not to use automated tools to scrape the website at a rate that burdens the server, not to attempt to access areas that are not public, and not to interfere with the security measures that protect the site. A report of a fault or a security concern is welcome at the desk mailbox.

6. Enquiries and Working Records

An enquiry sent to the desk creates a working record. The record includes the message, the reply, the date, and any attachment that the parties choose to keep. The company uses the record to answer the enquiry and, if work follows, to carry out the engagement.

You are responsible for keeping your own copy of any material you send. The company keeps working records for the periods described in the Privacy Policy, but a record kept by the company is not a substitute for your own archive. If you need a copy of a record, ask the desk before the retention period ends.

Messages are handled by people at the desk. Automated filters may move a message to a separate queue if it looks like bulk advertising or a security risk. A legitimate message can be restored by contacting the desk through another channel.

The company may contact you using the email address or telephone number that you provide. It will use those details for the engagement and for any update list that you have joined. It will not add you to an update list merely because you sent an enquiry.

7. Client Responsibilities

A client must provide accurate and complete information about the project. The quality of a hero sheet, a network window or a link review depends on the accuracy of the material supplied. Where a client withholds material information, the company may need to revise a deliverable and may charge for the additional work.

A client must have the right to share any material provided to the company. This includes diagrams, network plans, specifications, credentials for a test environment and details of third party systems. The client is responsible for obtaining any permission that the sharing requires.

A client must nominate a contact who can answer questions during the engagement. The contact should be able to confirm priorities, approve a record and receive a deliverable. If the contact changes, the client should tell the desk promptly so that records are not sent to the wrong person.

A client must follow the security guidance that the company provides. Guidance may cover the safe sharing of files, the handling of test credentials, and the steps to take before a live change is tested. A client that ignores the guidance does so at its own risk.

A client must pay the agreed fees on time and must tell the desk promptly if an invoice is disputed. A dispute about an invoice does not suspend the obligation to pay the undisputed part.

8. Fees, Quotes and Invoicing

Fees are set out in the quote or engagement document that the parties agree. A quote is valid for the period stated in it and may be withdrawn if the scope changes before acceptance. Where no period is stated, a quote is valid for thirty days from the date it is issued.

Unless the engagement document says otherwise, fees are exclusive of taxes, duties and bank charges, which are added where the law requires. Travel and third party costs are charged at cost and are described in advance where they are likely to be significant.

Invoices are payable within the period stated on the invoice. If no period is stated, the period is thirty days from the invoice date. The company may charge interest on a late payment at the rate allowed by law, and may pause work while an undisputed invoice remains unpaid.

A deposit may be required before a bay is allocated or a sitting is confirmed. A deposit is applied to the final invoice unless the engagement document says otherwise. Where a client cancels after work has started, the company may retain the part of the deposit that covers work already done.

Refunds are given where the company cannot deliver the agreed work or where the law requires a refund. A refund is not given merely because a client changes its mind after a deliverable has been accepted.

9. Plaza Sittings and Scheduling

A plaza sitting is booked for a stated time and length. The company confirms a sitting in writing, and the confirmation states the time, the channel and the people expected to attend. A sitting that is not confirmed is not reserved.

Please give the desk as much notice as possible if a sitting must be moved. Where a change is made with reasonable notice, the company will try to find another time. Where a change is made at short notice or a party does not attend, the company may charge for the reserved time.

A sitting produces a short record. The record is shared with the attendees and is added to the working file. If a participant believes that the record is inaccurate, they should tell the desk within the period stated in the record so that a correction can be added.

Sittings may be held remotely where the parties agree. A remote sitting is subject to the same rules as a sitting at the plaza, including the rule on records and the rule on fees for a missed appointment.

10. Deliverables and Acceptance

A deliverable is provided in the form described in the engagement document, for example a document, a diagram or a set of notes. The company provides the deliverable by the agreed channel and marks the date of issue.

A client should review a deliverable within the period stated in the engagement document. If no period is stated, the client should review within ten working days of issue. A deliverable that is not questioned within that period is treated as accepted for the purpose of the next stage.

The company will correct a defect that is reported within the review period and that falls within the agreed scope. A request for a change that falls outside the agreed scope is handled as a change request, and the company will explain the effect on time and fees before the change is made.

A deliverable is based on the material available at the time of issue. The company does not promise that a third party system will behave as documented, and it is not responsible for a change that a third party makes after the deliverable is issued.

11. Intellectual Property

The website, its text, its layout and its visual design belong to HeZe ZhongHao Network Technology Co., Ltd. and to the developer CentralHero as their respective rights require. No part of the website may be copied for commercial use without written permission.

A client keeps ownership of the material that the client provides. The client grants the company a licence to use that material for the purpose of the engagement, including the preparation of a hero sheet, a note run, a window or a review. The licence ends when the engagement ends, except where the company must keep a record for the reasons described in the Privacy Policy.

The company keeps ownership of its own methods, templates, internal notes and general know how. Where a deliverable includes company material, the client receives a licence to use the deliverable for the purpose described in the engagement. The client may not resell the deliverable or present it as a product of another provider.

Where a deliverable includes material from a third party, the terms of that third party apply to that material. The company will identify such material where it is practical to do so, and the client is responsible for respecting the third party terms.

Nothing in this section transfers ownership of a trademark, a logo or a brand name. A party that wishes to use the name or mark of the other party in public must obtain written permission first.

12. Confidentiality

Each party may receive information that the other party treats as confidential. Confidential information includes project material, network plans, commercial terms, personal details and anything marked or described as confidential. Each party agrees to use confidential information only for the purpose of the engagement and to protect it with reasonable care.

Confidential information may be shared with employees, contractors and professional advisers who need it for the engagement. Those people must be bound by confidentiality obligations at least as strong as those in these terms. The receiving party remains responsible for the conduct of the people it involves.

Confidential information does not include information that is already public, that the receiving party already held without a duty of confidence, that the receiving party develops independently, or that the law requires to be disclosed. Where disclosure is required by law, the receiving party should give the other party as much notice as is lawful and should disclose only what is required.

The duty of confidentiality continues after the engagement ends. It ends when the information becomes public through no fault of the receiving party, or after the period stated in the engagement document if a period is stated.

13. Acceptable Use and Prohibited Conduct

You must not use the website or the plaza desk for an unlawful purpose. You must not send material that infringes the rights of another person, that is defamatory, that is abusive, or that contains malware. You must not attempt to gain access to a system that you are not authorised to use.

You must not misrepresent your identity or your authority. You must not present material from the company as your own work. You must not use the desk to send unsolicited bulk messages or to harvest contact details from the website.

You must not interfere with the website in a way that reduces its availability for others. Probing the site for vulnerabilities without written permission is not allowed, though a responsible report of a suspected weakness is welcome and will be handled with care.

The company may suspend access where it reasonably believes that a person has broken these rules. A suspension will be explained where the law allows, and a person may respond to the explanation. A serious breach may lead to termination under the section on term and termination.

14. Third Party Materials and Links

The website may link to a third party page or include material from a third party source. A link is provided for convenience and does not mean that the company endorses the page or accepts responsibility for its content. The third party terms and privacy notice apply from the moment you leave this site.

A network window may show status that originates from a client system. The company does not control the client system and cannot promise that the status will always be current. A client that publishes a window is responsible for the accuracy of what it publishes.

Where a project involves a third party product, the terms of that product govern its use. The company may recommend a product where it believes the recommendation is sound, but the client makes its own decision and bears its own relationship with the third party vendor.

15. Warranty and Service Levels

The company will perform its work with the skill and care that a competent professional would apply to similar work. This is the main promise that the company makes about the service. Other promises, whether express or implied, are excluded to the extent that the law allows.

The company does not warrant that a network will be free of every fault, that a third party system will meet a particular standard, or that a plan will produce a particular commercial result. A design recommendation is advice based on the information available, and the client remains responsible for the decision to adopt it.

Where a service level is agreed in an engagement document, that document states the measurement, the remedy and the exclusions. Where no service level is agreed, the company aims to answer an enquiry within two working days and to give a substantive reply within five working days.

The website is provided without a service level. The company may take the site offline for maintenance and will try to give notice where the interruption is planned and significant.

16. Limitation of Liability

To the extent that the law allows, the company is not liable for indirect loss, loss of profit, loss of business, loss of data or loss of reputation that arises from the use of the website or the service. The company is not liable for a loss that a client could have avoided by following the guidance that the company provided.

Where liability cannot be excluded, the total liability of the company for an engagement is limited to the fees paid for that engagement in the twelve months before the event that gave rise to the claim. Where the engagement lasted less than twelve months, the limit is the fees paid for the engagement.

Nothing in these terms limits liability for fraud, for wilful misconduct, for death or personal injury caused by negligence, or for any other liability that the law does not allow to be limited. If a clause of this section is found to be unenforceable, the remaining clauses continue to apply.

A claim must be brought within the period allowed by law. The company asks that a concern be raised early, because a matter is easier to resolve when the record is fresh and the people involved are still available.

17. Indemnity

A client agrees to indemnify HeZe ZhongHao Network Technology Co., Ltd. against a claim that arises from material that the client supplied without the right to share it, from a use of a deliverable outside the agreed purpose, or from a breach of the acceptable use rules by the client or by a person acting for the client.

The company will tell the client promptly if a claim arises and will allow the client to take part in the defence. The company will not settle a claim in a way that admits fault on the part of the client without the client agreement, and the client will not settle a claim in a way that affects the company without the company agreement.

The indemnity does not apply to the extent that the claim arises from the negligence or wilful misconduct of the company. Each party bears its own costs of responding to a claim to the extent of its own responsibility.

18. Term, Suspension and Termination

These terms apply from the moment you first use the service and continue while you use it. An engagement continues for the period stated in the engagement document or until the work is complete. Either party may end an engagement by giving written notice where the engagement document allows it.

The company may suspend a service where an invoice remains unpaid, where a security risk requires immediate action, or where a breach of these terms is serious. A suspension will last no longer than the reason for it requires, and the company will explain the reason where the law allows.

Either party may end the agreement immediately if the other party commits a serious breach that is not corrected within a reasonable period after notice, or if the other party becomes insolvent or ceases to carry on business.

When an engagement ends, the client must pay for work done and for costs already committed. The company will provide the deliverables that have been paid for and will keep a record as described in the Privacy Policy. Clauses on confidentiality, intellectual property, liability and governing law survive the end of the engagement.

19. Force Majeure

A party is not liable for a delay or a failure that is caused by an event beyond its reasonable control. Such events include a natural disaster, a widespread power failure, a failure of a public network, an epidemic, civil unrest, a change of law and an action of a public authority.

A party that is affected by such an event should tell the other party promptly and should take reasonable steps to reduce the effect. The obligations that are affected are suspended for the duration of the event, and the other obligations continue.

If the event continues for a long period, either party may end the affected engagement by written notice. The client pays for work done before the event and for costs already committed, and the company returns any material that the client needs.

20. Governing Law and Disputes

These terms are governed by the laws of China. A dispute that arises from the service should first be raised with the desk, because most matters can be resolved through a conversation and a careful look at the record.

If a dispute cannot be resolved through the desk, the parties will try to resolve it through a structured discussion, which may include a neutral facilitator chosen by agreement. A party that wishes to use a facilitator should tell the other party in writing and should state the matter in dispute.

If the dispute is not resolved through discussion, it may be brought before a competent court in the place where the company is established, unless the law requires another forum. Nothing in this section prevents a party from asking a court for urgent relief where that is necessary to protect a right.

A client that is based outside China should check whether the law of its own country gives it additional rights that cannot be excluded. Where such a right exists, this section does not remove it.

21. Changes to These Terms

The company may change these terms from time to time. A change may be needed because the law changes, because the desk introduces a service, or because a working practice has proven to be unclear. The revised version is published on this page with a new effective date.

A change applies to a use that happens after the revised version is published. A change does not alter the terms of an engagement that was agreed before the change unless the parties agree otherwise in writing.

Where a change is material, the company will add a short note that explains what changed. A visitor who continues to use the service after the change is treated as having accepted the revised terms.

22. Contact and Notices

A notice under these terms should be sent in writing to the desk. For the company, the addresses are the postal address and the mailbox listed below. For a client, the address is the one given in the engagement document or, if none is given, the address used in the most recent correspondence.

A notice is treated as received when it is delivered to the postal address, when an email is acknowledged by the desk, or on the next working day if it is sent after the close of business. A notice that is sent to the wrong address does not take effect until it reaches the correct address.

For a routine question, the desk mailbox is the fastest route. For a formal notice, please use the postal address and, where possible, send a copy by email so that the desk can act promptly.
